Terms of Service

These Terms of Service govern your use of IT services provided by IEAO Group LLC, doing business as IT Guy OC. By engaging our services, you agree to these terms.

1. Parties

These Terms of Service ("Terms") constitute a legally binding agreement between IEAO Group LLC, a California limited liability company doing business as IT Guy OC ("Company," "we," "us," or "our"), and the business entity or individual ("Client," "you," or "your") that engages our services.

By requesting, scheduling, or receiving services from IT Guy OC, you agree to be bound by these Terms in their entirety.

2. Services Provided

IT Guy OC provides the following categories of IT services primarily to small businesses in South Orange County, California:

  • On-site and remote IT support and troubleshooting
  • Business network design, installation, and configuration
  • Cybersecurity assessment, threat removal, and hardening
  • Business data protection, backup setup, and recovery
  • System optimization and performance improvement
  • Microsoft 365 and Google Workspace setup and support
  • New office technology setup and configuration
  • Monthly Managed IT Services (see Section 9)

All services are provided on a best-effort basis. While we strive for complete resolution of every issue, we cannot guarantee specific outcomes due to the nature of technology, third-party software, or pre-existing hardware conditions.

3. Pricing & Payment

Minimum Service Call: A minimum fee of $150 applies to all on-site and remote service calls. This covers the first portion of labor for standard service visits.

Hourly Projects: Projects requiring more than the minimum service call are billed at our current hourly rate. An estimate will be provided and agreed upon in writing (including email) before work commences. We do not begin billable work beyond the minimum without your explicit authorization.

Payment Terms: Payment is due upon completion of service unless otherwise agreed in writing. We accept cash, check, Venmo, Zelle, and major credit cards. For Managed IT plans, payment is due on the 1st of each month.

No Fix, No Fee: If we are unable to resolve the issue we were engaged to fix, no charge will be applied for that specific service call beyond any agreed diagnostic fee disclosed upfront.

Late Payments: Invoices unpaid after 30 days may incur a late fee of 1.5% per month on the outstanding balance.

4. Scheduling & Cancellation

Appointments: Service appointments are confirmed via phone, text, or email. We will provide a time window for on-site visits.

Cancellations: Please provide at least 4 hours notice for appointment cancellations or rescheduling. Late cancellations (under 4 hours) or no-shows may be subject to a $75 cancellation fee.

Emergency / Same-Day Service: Same-day service requests are accommodated when availability permits and are subject to standard pricing. We do not charge emergency premiums.

5. Service Warranty

IT Guy OC provides a 30-day warranty on labor for all completed service work. If the same issue recurs within 30 days of service and is directly related to our work, we will return to address it at no additional labor charge.

This warranty does not cover:

  • New or unrelated issues that arise after service
  • Hardware failures or manufacturer defects
  • Issues caused by software installed by others after our service
  • Damage caused by power surges, accidents, or misuse
  • Issues resulting from the Client not following our recommendations

Hardware and parts carry the manufacturer's warranty only, which we will assist you in claiming where possible.

6. Limitation of Liability

IT Guy OC's total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

Data Responsibility: While we take every precaution to protect your data, the Client is responsible for maintaining complete, up-to-date backups of all important data prior to any service. IT Guy OC is not liable for data loss, corruption, or damage that may occur during the course of service, even if such loss results from our actions, unless caused by gross negligence or willful misconduct.

No Consequential Damages: In no event shall IT Guy OC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

7. Data & Confidentiality

IT Guy OC treats all Client data and business information as strictly confidential. We will not disclose, sell, or share any business data, credentials, or confidential information obtained during the provision of services to any third party, except:

  • As required by law or court order
  • With explicit written consent from the Client
  • To subcontractors bound by equivalent confidentiality obligations

Credentials (passwords, account access) provided for service purposes will not be retained beyond the completion of the service for which they were required, unless explicitly agreed for ongoing Managed IT purposes.

8. Intellectual Property

All custom scripts, tools, documentation, or configurations created specifically for a Client as part of a service engagement remain the property of the Client upon full payment, unless otherwise agreed in writing.

Proprietary tools, templates, or methodologies used by IT Guy OC to deliver services remain the intellectual property of IT Guy OC.

9. Managed IT Services

Monthly Managed IT plans are governed by these Terms plus any additional Service Level Agreement (SLA) agreed upon in writing at the time of enrollment.

Term: Managed IT plans operate on a month-to-month basis unless a longer term is agreed in writing. No long-term contracts are required.

Cancellation: Either party may cancel a Managed IT plan with 30 days written notice (email acceptable). The Client will be billed for the current month in full regardless of cancellation date within that month.

Scope: The specific devices, services, and response times covered under each Managed IT plan are defined in the plan documentation provided at enrollment. Services outside the agreed scope may be billed at standard rates.

Access Requirements: For remote monitoring and management, the Client must allow installation of our approved remote management agent on covered devices. The Client may request removal upon plan cancellation.

10. Termination

IT Guy OC reserves the right to refuse or discontinue service to any Client who:

  • Engages in abusive, threatening, or illegal conduct
  • Requests that we perform illegal or unethical tasks
  • Has outstanding unpaid invoices past 60 days

Upon termination, the Client remains responsible for all fees incurred up to the termination date. IT Guy OC will return any Client-owned hardware or credentials in its possession within 5 business days.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from these Terms or our services that cannot be resolved informally shall be subject to binding arbitration in Orange County, California, under the rules of the American Arbitration Association (AAA). Both parties waive the right to a jury trial and class action proceedings.

For disputes under $10,000, either party may elect to resolve the matter in small claims court in Orange County as an alternative to arbitration.

12. Changes to These Terms

IT Guy OC reserves the right to update these Terms at any time. Updated Terms will be posted at itguyoc.com/terms.html with a new "Last Updated" date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.

For active Managed IT clients, we will provide at least 14 days' notice of material changes via email.
